Terms of Service

1. Agreement to these Terms

These Terms of Service ("Terms") are a legal agreement between you and ValorGPT, including its owner, operators, affiliates, and service providers ("ValorGPT", "we", "us", and "our"). By accessing or using the website, applications, APIs, accounts, subscriptions, credits, AI features, and related services (the "Service"), you agree to these Terms and our Privacy Policy.

If you use the Service on behalf of a company, organization, or other person, you represent that you have authority to bind them to these Terms. If you do not agree, do not use the Service.

2. What ValorGPT does

ValorGPT provides an AI workspace that lets users interact with multiple AI models and related tools from one interface. Depending on the feature you choose, the Service may let you draft text, compare model responses, upload files, search the web, generate images, save prompts, create personas, store conversations, organize folders, share links, export work, and manage subscriptions or usage credits.

ValorGPT is not the same product as any third-party model provider. Third-party AI models, search services, payment processors, analytics services, hosting services, and other vendors may power parts of the Service and may have their own terms, policies, limits, and availability.

3. Eligibility, accounts, and security

• You must be at least 13 years old, or the minimum age required in your country to use online services. If you are under 18, you must have permission from a parent or legal guardian.
• You must provide accurate account, billing, and contact information and keep it updated.
• You are responsible for all activity under your account, including activity by anyone who uses your credentials, devices, shared links, API keys, or sessions.
• You must protect your account and notify us promptly if you suspect unauthorized access, credential compromise, or misuse.
• We may refuse, suspend, throttle, or terminate access if we believe doing so is needed to protect the Service, users, providers, or legal compliance.

4. Acceptable use

You may not use the Service to:

• Violate any law, regulation, contract, intellectual-property right, or privacy right.
• Generate, distribute, or facilitate illegal, exploitative, abusive, hateful, harassing, deceptive, or harmful content or activity.
• Create or assist malware, credential theft, phishing, spam, evasion of security controls, unauthorized surveillance, or cyber abuse.
• Make automated, high-volume, scraped, or resale use of the Service without our written permission.
• Reverse engineer, decompile, extract, copy, benchmark for competitive misuse, or attempt to discover source code, model weights, prompts, system instructions, ranking logic, security controls, or non-public components.
• Interfere with, overload, probe, scan, bypass, or circumvent the Service, rate limits, safety systems, authentication, billing, or access controls.
• Misrepresent AI-generated output as human-generated where that would be deceptive or unlawful.
• Use outputs to make high-impact decisions about a person, including legal, medical, financial, housing, employment, education, credit, insurance, or similar decisions, without qualified human review and lawful authority.

5. AI outputs and professional judgment

• AI outputs can be inaccurate, incomplete, outdated, biased, offensive, or not suited for your use case.
• Outputs are not legal, medical, financial, tax, investment, safety, or other professional advice. Consult a qualified professional before relying on outputs in sensitive matters.
• You are responsible for reviewing outputs, checking sources, validating code, testing recommendations, and deciding whether an output is appropriate.
• Outputs may not be unique. Other users may receive similar or identical outputs, and your rights do not extend to their outputs.
• Third-party products, people, services, or sources mentioned in an output are not necessarily endorsed by or affiliated with ValorGPT.

6. Your content and generated content

"Input" means prompts, files, images, messages, instructions, feedback, personas, saved prompts, and other content you submit. "Output" means content generated for you through the Service. Input and Output together are "Content".

• You retain the rights you have in your Input. As between you and ValorGPT, and to the extent permitted by law, you own the Output generated for you.
• You represent that you have all rights, permissions, and lawful bases needed to submit Input and use Output.
• You grant ValorGPT a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, format, modify, and use your Content as needed to provide, secure, troubleshoot, enforce, and improve the Service.
• If you publish, share, or make Content public through shared links, public vault pages, personas, prompts, or similar features, you grant us permission to display and distribute that Content as part of those features.
• We may remove or restrict Content that appears to violate these Terms, provider policies, law, safety requirements, or the rights of others.

7. ValorGPT intellectual property

The Service, including its software, interface, design, brand, trademarks, logos, workflows, non-public prompts, documentation, databases, and other technology, is owned by ValorGPT or its licensors and is protected by intellectual-property and other laws. These Terms do not grant you rights in the Service except for the limited right to use it as allowed by these Terms.

You may not use ValorGPT names, logos, brand assets, screenshots, or public-facing materials in a way that suggests endorsement, partnership, or affiliation without written permission.

8. Third-party services and provider rules

The Service may depend on third-party AI model providers, payment processors, hosting platforms, analytics tools, authentication services, storage services, search tools, image-generation systems, and other vendors. We are not responsible for third-party services, third-party output, provider outages, provider policy changes, rate limits, model behavior, data practices, or pricing changes.

You agree to comply with applicable provider terms and policies when a feature uses a third-party service. We may change, remove, substitute, throttle, or restrict models and providers at any time.

9. Payments, subscriptions, credits, and taxes

• Paid features, subscriptions, usage credits, model access, and limits will be described at checkout or in the product.
• You authorize us and our payment processor to charge your selected payment method for purchases, recurring subscriptions, taxes, and applicable fees.
• Subscriptions renew automatically until canceled. Cancellation takes effect at the end of the current paid period unless the product or applicable law says otherwise.
• Credits, trials, promotional balances, and usage allowances may expire, be limited, be non-transferable, and have no cash value unless we state otherwise.
• Payments are non-refundable except where required by law, required by a checkout promise, or approved by us in our discretion.
• We may change prices, model availability, quotas, or plan features. For recurring subscriptions, material price increases will apply on a future renewal where required by law or checkout terms.

10. Beta features and availability

Some features may be experimental, limited, beta, preview, or free. We may modify, suspend, limit, or discontinue any part of the Service at any time. We do not guarantee that any model, provider, feature, conversation history, file, export, shared link, or saved item will remain available forever.

11. Privacy and data protection

Our Privacy Policy explains how we collect, use, share, and retain information. By using the Service, you understand that Content may be processed by ValorGPT and third-party providers to operate the features you choose.

12. Suspension and termination

You may stop using the Service at any time. We may suspend, restrict, or terminate your access, remove Content, disable shared links, or close accounts if we believe you violated these Terms, created risk or harm, failed to pay, used the Service fraudulently, caused security concerns, or if required by law or provider policy.

After termination, provisions that by their nature should survive will survive, including ownership, payment obligations, disclaimers, liability limits, indemnities, dispute terms, and rights needed to enforce these Terms.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, OR ERROR-FREE OPERATION.

We do not warrant that the Service will be uninterrupted, secure, accurate, complete, compatible with your systems, compliant with your industry obligations, or free from harmful components. You use the Service and outputs at your own risk.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALORGPT, ITS OWNER, OPERATORS, AFFILIATES, PERSONNEL, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, CONTENT, BUSINESS INTERRUPTION, OR SECURITY INCIDENTS, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO VALORGPT FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR $100.

Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

15. Indemnification

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless ValorGPT, its owner, operators, affiliates, personnel, licensors, and service providers from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from or related to your Content, your use of the Service, your violation of these Terms, your violation of law, or your infringement or misuse of another person's rights.

16. Copyright complaints

If you believe Content on ValorGPT infringes your copyright, send a notice to [email protected] with: your physical or electronic signature, identification of the copyrighted work, identification of the allegedly infringing material and its location, your contact information, a good-faith statement that the use is not authorized, and a statement under penalty of perjury that your notice is accurate and you are authorized to act.

We may remove or disable allegedly infringing material and may terminate repeat infringers where appropriate.

17. Disputes, governing law, and class waiver

Before filing a claim, you agree to contact us at [email protected] and try to resolve the dispute informally. We will do the same where practical.

Unless applicable consumer law requires otherwise, these Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. Claims must be brought individually and not as a plaintiff or class member in any class, consolidated, or representative proceeding, to the maximum extent permitted by law.

18. Trade controls and restricted locations

You must comply with applicable sanctions, export control, and trade laws. You may not use the Service if you are located in, ordinarily resident in, or acting on behalf of a country, region, person, or entity subject to restrictions that prohibit your use of the Service. You may not submit information that requires government authorization to export or disclose unless you have that authorization.

19. Changes

We may update these Terms as the Service, providers, laws, or business practices change. We will post the updated Terms with a new "Last updated" date. Material changes will apply prospectively unless immediate changes are needed for legal, security, or abuse-prevention reasons. Your continued use after changes become effective means you accept the updated Terms.
